Terms of Service

Effective: December 2025

These terms outline how we work with clients for workshops, pilots, and advisory engagements.

Scope & deliverables

  • Engagement scope, timelines, and deliverables are agreed in writing before work begins.
  • Workshops deliver training, documentation, and follow-up support as specified in the proposal.
  • Pilot or advisory work includes agreed milestones, acceptance criteria, and documentation.

Professional advice disclaimer

  • Not legal advice. Information about GDPR, EU AI Act, or other regulations is provided for educational purposes only and does not constitute legal advice. You should consult qualified legal counsel for matters requiring legal interpretation or opinion.
  • Not audit or certification. Our references to ISO 42001, SOC 2, or similar standards describe methodologies we align with, not certifications we hold or can confer. Formal certification requires accredited third-party auditors.
  • Not compliance guarantee. Completing our workshops or engaging our services does not guarantee your organisation's compliance with any regulation. Compliance is your responsibility based on your specific circumstances, jurisdiction, and implementation.
  • General guidance. All advice provided is general in nature and based on information available at the time of delivery. You should evaluate its applicability to your specific situation with appropriate professional advisers.

Results and outcomes

  • No guaranteed outcomes. Results from AI adoption depend on factors including your organisation's data, processes, culture, implementation quality, and ongoing maintenance — factors outside our control. We do not guarantee specific productivity gains, cost savings, or ROI outcomes.
  • Third-party research. Statistics, benchmarks, and research findings cited in our materials (including productivity studies from Anthropic, BCG, McKinsey, and academic institutions) represent third-party research findings, not guarantees of results you will achieve. Individual outcomes vary significantly based on context and implementation.
  • Testimonials and case studies. Any testimonials or case studies represent individual client experiences and should not be taken as guarantees of similar results.

Fees & payment

  • Pricing and payment schedules are defined in the proposal. Invoices are due within 14 days unless otherwise stated.
  • Client-side costs (infrastructure, platform fees) are the client's responsibility unless specified.
  • In-person workshops include a 35% premium over online rates; travel expenses billed separately at cost.

Third-party platforms and tools

  • No endorsement. Our workshops may involve third-party AI platforms including OpenAI (ChatGPT), Anthropic (Claude), Google (Gemini), and Microsoft (Copilot). Reference to these platforms does not constitute endorsement.
  • No control. We do not control the availability, functionality, pricing, data handling, or terms of service of third-party platforms. Platform capabilities, features, and policies may change without notice.
  • Your responsibility. Clients are responsible for ensuring their use of any AI platform complies with their own organisational policies, procurement requirements, and applicable regulations. Enterprise licensing and data processing agreements must be secured directly with platform providers.
  • No liability for platforms. We accept no liability for actions, omissions, outages, data handling, or policy changes by third-party platform providers.

Confidentiality & IP

  • Both parties agree to keep confidential information private and use it only for the engagement.
  • Client retains ownership of their data, workflows, and materials. Excetra retains ownership of pre-existing IP and general know-how.
  • Custom deliverables created for the client are licensed for internal use unless otherwise agreed.

Data protection

  • We follow the data handling practices in our Privacy Policy and Security page.
  • Data Processing Addendums and NDAs can be executed on request.

Regulatory information and currency

  • Evolving landscape. The regulatory landscape for artificial intelligence is evolving rapidly. Information provided in our workshops and materials reflects our understanding at the time of delivery.
  • Point-in-time guidance. Regulatory references (including GDPR, EU AI Act, UK AI frameworks, ISO 42001, and sector-specific requirements) are accurate to the best of our knowledge at the time of delivery but may be superseded by new legislation, guidance, or enforcement practice.
  • No ongoing obligation. Unless specifically agreed in writing, we have no obligation to update clients on regulatory changes following the conclusion of an engagement.
  • Your responsibility. Clients should monitor relevant regulatory developments and seek current legal advice for ongoing compliance obligations.

Cancellation

  • Workshops can be rescheduled with at least 5 working days' notice (excluding weekends and UK bank holidays). Late cancellations may incur up to 50% of the workshop fee.
  • Longer engagements include termination terms in the proposal; fees for completed work remain payable.

Limitation of liability

  • Best-effort basis. Excetra provides services on a best-effort basis using reasonable skill and care consistent with industry standards for AI training and consultancy.
  • Exclusion of indirect losses. We are not liable for indirect, consequential, special, or punitive losses, including but not limited to loss of profit, revenue, data, goodwill, or anticipated savings.
  • Cap on liability. Our total aggregate liability arising from or related to any engagement shall not exceed the fees paid by you for the specific engagement giving rise to the claim.
  • Statutory rights preserved. Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
  • Time limit for claims. Any claim arising from our services must be notified to us in writing within twelve (12) months of the date you became aware (or ought reasonably to have become aware) of the circumstances giving rise to the claim.
  • Duty to mitigate. You agree to take reasonable steps to mitigate any loss or damage arising from matters covered by these terms.

Governing law

  • These terms are governed by the laws of England and Wales.
  • Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
  • If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
